Care-Sector Regulatory & Operational Due Diligence

Oxara Consulting provides independent regulatory and operational due diligence for solicitors, lenders, investors, purchasers and transaction professionals working across the regulated care sector. Our director-led analysis supports care-home and healthcare acquisitions, lending and investment decisions, restructuring, regulatory disputes, operational-risk assessment and care-property transactions.

Regulatory Evidence  ·  Transaction Risk  ·  Operational Due Diligence

Independent care-sector evidence for professional decision-making.

Oxara establishes the clinical, operational and regulatory position on which professional decisions can be based.

We are instructed where regulatory findings, enforcement action, operational risk, transaction exposure or the suitability of a care property must be tested against the underlying evidence and the reality of service delivery. Our role is to establish and report that position independently for the appointed professional team.

Professional instructions are director-led by Roxana Rosca, Emerson Kupfuwa or Dr Sundeep Kaul according to the clinical, operational, regulatory and transaction requirements of the matter.

Instruction leadership

Roxana Rosca Managing Director. MSc Nursing, MSc Leadership and Management, Registered Manager's Award. Clinical governance, CQC regulation and service recovery.
Emerson Kupfuwa CQC Compliance and Operational Recovery Consultant. Director and General Manager across Runwood Homes and Barchester Healthcare, MSc Public and Social Administration (Brunel University). Large-scale operational turnarounds and governance recovery across multiple registered services.
Dr Sundeep Kaul PhD Quality Governance & Systems. PhD, King's College London. Consultant in intensive care and respiratory medicine. Thirty years of clinical practice translated into governance frameworks that withstand inspection.

When professional advisers instruct Oxara

Professional advisers may instruct Oxara where:

  • a CQC draft report or enforcement finding must be tested against contemporaneous clinical, operational or governance evidence;
  • a legal team requires specialist care-sector analysis to support a regulatory challenge, proceeding or evidential review;
  • a purchaser, investor or lender needs to identify latent regulatory, operational or governance liabilities;
  • a purchaser, investor or lender is assessing a digital healthcare, remote care or online clinical service and requires independent regulatory and operational due diligence;
  • a transaction depends on registration continuity, management stability, service viability or the scale of post-completion remediation;
  • an administrator, insolvency practitioner or restructuring adviser requires an independent operational baseline;
  • the financial position of a service may not reflect its underlying regulatory or operational exposure;
  • a care property must be assessed for regulatory suitability before acquisition, conversion, development or recommissioning;
  • a surveyor, valuer, architect or property adviser requires specialist regulated-care input outside their own professional scope;
  • urgent remediation must be assessed and documented while regulatory action remains active.

If independent regulatory, clinical or operational scrutiny is required, a director can discuss the scope, evidence requirements and appropriate route for instruction.

Discuss a Professional Matter

Independent clinical, operational and regulatory analysis for solicitors and legal teams handling CQC factual-accuracy challenges, enforcement action, tribunal proceedings, disputes and care-sector transactions.

Regulatory and operational risk assessment for lenders, investors, purchasers, insolvency practitioners and transaction advisers considering acquisitions, lending, restructuring, distressed assets and registration continuity.

Specialist regulated-care input for surveyors, valuers, architects, developers and property advisers assessing the suitability, acquisition, conversion, development or recommissioning of care premises.

Instruction Workstreams

Factual-Accuracy & Regulatory Evidence Review

CQC findings and regulatory assertions are tested against contemporaneous clinical, staffing, governance and operational records to identify supported findings, contradictory evidence and unresolved evidential gaps.

Enforcement Evidence Assessment

Independent clinical, operational and regulatory analysis of evidence relevant to Warning Notices, Notices of Proposal and other enforcement action, working alongside appointed legal advisers where formal representations, appeals or proceedings are involved.

Independent Operational Assessment

An independently documented baseline establishes the service's operational, clinical, governance and regulatory position at a defined point in time.

Rapid Remediation & Evidenced Recovery

Director-led operational support for services facing urgent regulatory risk, combining stabilisation and governance recovery with a contemporaneous evidence trail of the actions taken.

Independent assessment of regulatory history, governance, service operations and operational viability where care-sector acquisition, investment, lending, insolvency or restructuring decisions depend on regulatory and operational risk being independently examined.

Independent assessment of premises suitability and regulatory readiness for care-property acquisitions, conversions, developments and recommissioning, complementing rather than duplicating conventional property and technical due diligence.

Independent clinical, operational and regulatory opinion for litigation, tribunal and other formal proceedings where specialist care-sector expertise is required, subject to a separately defined expert instruction and applicable professional duties.

Working with Professional Advisers

Oxara accepts direct professional instructions and also works alongside solicitors, financial and transaction advisers, insolvency practitioners, surveyors, valuers, architects and other appointed professional teams.

Our role is to establish the relevant clinical, operational and regulatory position and present it in a form suitable for professional scrutiny and decision-making. The scope, reporting status, intended audience and permitted use of the work are agreed at the outset.

Oxara does not provide legal, accounting, investment, valuation, architectural or surveying advice. Our work complements those disciplines by providing specialist regulated-care evidence and operational analysis.

All professional engagements are subject to conflict and independence checks and are handled with strict professional confidentiality.

Where appropriate, assessments may be supported by Oxara Compliance, our purpose-built regulatory assessment framework for testing governance and compliance evidence against CQC requirements and identifying areas requiring further scrutiny.

Typical professional outputs

Depending on the instruction, outputs may include:

  • an independent regulatory-evidence report;
  • a line-by-line findings and evidence matrix;
  • a chronology of regulatory events;
  • an operational-risk register;
  • a service-baseline assessment;
  • a regulatory and operational due-diligence report;
  • registration-continuity analysis;
  • a prioritised remediation schedule;
  • a premises and care-property assessment;
  • briefing for appointed legal, financial or transaction professionals;
  • follow-up technical consultation;
  • support through remediation, commissioning or registration preparation.

The scope, reporting format, intended audience, deliverables and timetable are agreed at the outset of the instruction.

How professional instructions are handled

Each instruction begins with a conflict and independence check and a scope discussion. The engagement letter confirms the instruction lead, purpose and scope of the work, deliverables, reporting format, timetable, intended audience and professional boundaries. Confidential records and transaction material are handled through the agreed document process, with findings reported directly to the instructing client or appointed professional team.

Discuss a professional instruction

Provide a brief outline of the matter, the organisations or properties involved, the current regulatory or operational position and any relevant deadline. A director will respond regarding conflicts, scope and availability.
